US Securities and Exchange Commission (SEC) filers have until September 15, 2025, to enroll in Electronic Data Gathering, Analysis, and Retrieval (EDGAR) Next. Any filers not enrolled before the deadline will lose the ability to make filings on EDGAR until enrollment is complete.
The following is a list of reminders for navigating the enrollment process:
- Decide who will be the account administrator(s):
- Each account enrolling in EDGAR Next must have at least one “account administrator” who will manage the account. Filers who are not natural persons or single-member entities require two administrators.
- Account administrators must be natural persons who will manage all aspects of the filer’s EDGAR Next account, including delegation of EDGAR filing authority and annual confirmation of account information. Filers who are natural persons can designate another person to act as an account administrator.
- Create Login.gov credentials:
- Anyone serving as an account administrator must obtain individual Login.gov credentials before being listed as an account administrator for an account being enrolled.
- Gather EDGAR codes:
- EDGAR Next enrollment requires the account administrator to have the filer’s Central Index Key (CIK), passphrase, and CIK confirmation code (CCC).
- CIK information is publicly available.
- If the account administrator does not have the passphrase and/or CCC information, they will need access to the point of contact (POC) email address associated with the account to reset the passphrase and/or CCC.
- If the filer and account administrator do not have access to the POC email, the filer must submit a new Form ID application to generate a new passphrase and CCC. We anticipate that the SEC Form ID applications backlog will increase as September 15 approaches.
- Enroll in EDGAR Next:
- Account administrators should log into the EDGAR filer management website and use the filer EDGAR codes to enroll in EDGAR Next.
- Delegate filing authority to third parties:
- Prior to EDGAR Next, third parties (such as financial printers or brokers) could file EDGAR reports using a filer’s EDGAR codes. After September 15, account administrators will need to delegate authority to these third parties so they may continue to submit EDGAR filings on behalf of their clients.
- An account administrator must log into the filer management website and delegate filing authority to these third parties.
- Many of these third parties are circulating instructions on how to delegate filing authority. Filers and their administrators should reach out to third parties that have traditionally been involved in their EDGAR filings.
Filers will lose access to their EDGAR accounts and will not be able to make filings starting September 15. Because the EDGAR Next dashboard can only be accessed from 6:00 am to 10:00 pm ET Monday through Friday, filers will be unable to enroll during the weekend before the compliance deadline.
