SEC Roundtable on Executive Compensation Disclosure Requirements: June 26, 2025

As we previously noted last month, the SEC is hosting a roundtable on the executive compensation disclosure requirements on June 26, 2025. In advance of the roundtable, the SEC has finalized and released a detailed agenda and panelists. The three in‑depth panels, which will include panelists who are outside and in-house counsel, investors, compensation consultants and others, will consist of the following:

  • Panel 1 – Executive Compensation Decisions: Setting Compensation and Informing Investment and Voting Decisions
    • This panel will examine the process by which public companies set and investors evaluate executive pay.
  • Panels 2 and 3 – Executive Compensation Disclosure: How We Got Here and Where We Should Go.
    • Both panels will focus on how executive compensation disclosure has evolved, including under the 2006 amendments and the Dodd‑Frank Act. These panels will also examine whether the rules have achieved their policy objectives, challenges in preparing disclosure, and what the disclosure requirements should look like in the future.

The roundtable will take place at SEC headquarters in Washington, D.C., from 1:00 to 5:35 p.m. ET, with both in‑person (by registration) and live webcast participation available on the SEC’s website. Registration is not necessary to participate via the live webcast. The SEC is also inviting public feedback through the event page on the topics discussed, including how current executive compensation disclosure rules are working in practice, whether additional clarity or streamlining is needed, and whether current requirements are effectively serving investors’ needs. Thus far, 13 comment letters have been submitted to the SEC in advance of the roundtable.
