Six-Month Extension for Corporate Transparency Act Compliance for Certain Florida Counties

The Financial Crimes Enforcement Network of the United States (“FinCEN”) has issued a six-month extension for entities affected by Hurricane Milton to file their Beneficial Ownership Information Report (“BOIR”) under the Corporate Transparency Act.

To qualify for the extension, the entity’s BOIR reporting deadline must fall on or between October 4, 2024, and January 2, 2025, and the entity’s principal place of business must be located within an area designated by FEMA as qualifying for individual or public assistance, and by the IRS as eligible for tax filing relief as a result of Hurricane Milton.

The affected counties include: Alachua, Baker, Bradford, Brevard, Broward, Charlotte, Citrus, Clay, Collier, Columbia, DeSoto, Dixie, Duval, Flagler, Gilchrist, Glades, Hamilton, Hardee, Hendry, Hernando, Highlands, Hillsborough, Indian River, Lafayette, Lake, Lee, Levy, Madison, Manatee, Marion, Martin, Miami-Dade, Monroe, Nassau, Okeechobee, Orange, Osceola, Palm Beach, Pasco, Pinellas, Polk, Putnam, Sarasota, Seminole, St. Johns, St. Lucie, Sumter, Suwannee, Taylor, Union, and Volusia.

For example, if the BOIR deadline for a qualifying entity was January 1, 2025 (or January 13, 2025, as extended by FinCEN due to the recent stay of the injunction enjoining enforcement of the CTA) and it meets the above requirements, then its new reporting deadline would be July 1, 2025.
