As a result of amendments adopted by the SEC in 2024, the SEC’s EDGAR electronic filing system is being replaced with a new “EDGAR Next” dashboard. All existing SEC filers will need to transition to EDGAR Next before September 15, 2025. New filers are already required to use and comply with EDGAR Next.

On September 27, 2024, the adopted amendments intended to improve the security of its system, enhance account access protocols, and expand filers’ ability to manage their EDGAR accounts. “EDGAR Next” impacts public companies, private companies, investment funds, individuals, and service providers that assist with your SEC filings such as filing agents and law firms. What You Need to Know:

  • March 24, 2025: EDGAR Next became the default system for new filers.
  • March 24, 2025 through September 12, 2025: Existing filers transition to EDGAR Next using current access credentials (passphrase and . Enroll in EDGAR Next to avoid interruption in filing.

The SEC has issued a revised Form ID, which is the application any new SEC filer needs to submit to receive access to the EDGAR system. New filers will also need to authorize account administrators, assign users, and, if applicable, appoint delegated entities and technical administrators. The application now requires submission of a notarized power of attorney. The SEC has advised all new filers to account for extended application processing times during the system transition period. We recommend planning for at least two to four business days for the processing of any new applications and starting the process early to avoid any late filings.

To ensure a smooth and uninterrupted transition to the EDGAR Next dashboard, we encourage existing filers to reach out to your Stoel contact as soon as possible, as the September 15, 2025 deadline is fast approaching. This process will include:

  • Ensuring each filer has its own EDGAR Next account and all individuals who require access to a filer’s EDGAR Next account have Login.gov credentials;
  • Authorizing account administrators and assigning users (including appointing delegated entities and technical administrators);
  • Coordinating with the company’s officers and directors, including cross-company coordination where officers and directors may be filers for multiple entities; and
  • Confirming account information is accurate and up to date.

Beginning September 15, 2025, filers that have not enrolled or been granted access after submitting an amended Form ID on or after March 24, 2025 will be unable to file on EDGAR until they enroll.

Deadlines and Consequences

  • September 12, 2025 – enrollment deadline to continue filing.
  • September 15, 2025 – after this date, filer will be unable to make required SEC submissions through EDGAR until enrolled.
  • December 19, 2025 – final deadline to retain EDGAR access.
    • After this date, filer must reapply for EDGAR access with Form ID.
    • Missing a required filing (such as Form D, Form 13F, or Form N-PX) due to non-enrollment could create compliance risks and potential regulatory consequences.
