Family-owned businesses continue to play a significant role in the Italian and Spanish economies, accounting for more than 80 percent of all enterprises and around 60 percent of GDP in both countries. In the aftermath of the Covid-19 pandemic, private equity investment is once again growing steadily in Italy and Spain, where the undercapitalization of SMEs and succession planning have opened significant opportunities for investment, despite the legacy risks attached to both jurisdictions. How can investors make the most of these opportunities? What are the new and legacy risks that come with investments in Italy and Spain? How should investors prepare and react to such risks, and what else can they do to protect their returns?

Jason Wright

Senior managing director·K2 Integrity

Jason Wright is a senior managing director in the Investigations and Disputes practice of K2 Integrity, resident in London. He provides strategic intelligence to clients, particularly asset management firms, to assist them in maximizing opportunities and minimizing risks in investments, acquisitions, disputes, and other matters.

Jason joined K2 Integrity from Argo Associates Ltd, a Hong Kong–headquartered business intelligence and political risk consultancy that he founded in 2018. Serving as managing director of the consultancy, Jason worked with clients—including asset management companies and corporations across industries—on high-value and complex business intelligence projects, political risk assignments, litigation support, and fraud investigations. His work was typified by an integrated understanding of various connected risks coupled with sophisticated analysis and intelligence gathering. Prior to founding Argo Associates, Jason worked at Kroll for over a decade, including more than five years in senior management roles. Before that, he worked as a television producer, director, and journalist on current affairs and art documentaries and magazine programs.

Jason has contributed numerous opinion pieces and interviews for publications such as The Wall Street Journal, The Observer, The Times, The New York Times, and The Korean Economic Daily.

Jason received his M.A. in state management and humanitarian studies from La Sapienza University in Rome and his M.A. (Oxon) from St. Catherine’s College, Oxford University, where he was a scholar. He is fluent in Italian and also speaks basic Korean and Mandarin.

Edoardo Fiora

Senior director·K2 Integrity

Edoardo Fiora is a senior director in K2 Integrity’s Investigations and Disputes practice, resident in London. He focuses on leveraging intelligence to help clients prevail in distressed situations and disputes and protect high-value transactions and investments.

Edoardo’s work is typified by in-depth analysis and reporting of hard-to-find information and data. He typically works closely with asset managers, law firms, and litigation funders, informing their acquisition and legal strategies. Edoardo concentrates on the southern European market and is a co-author of Intelligence Finanziaria—the first book in Italy to provide a systematic overview of the financial intelligence sector, public and private.

Prior to joining K2 Integrity, Edoardo worked for a London-based boutique intelligence firm, where he was responsible for managing enhanced due diligence and dispute support projects.

Edoardo has an M.Sc. in security studies from University College London, and a B.A. in international relations from Queen Mary University of London. He is also a Certified Anti-Money Laundering Specialist (CAMS) and is fluent in Italian and French.

José Luis Ortin Romero

Corporate/M&A partner·Garrigues

José Luis Ortín Romero is a Corporate/M&A partner at Garrigues since 2017. He is a member of the private equity group within the firm. Based out of the Madrid office of Garrigues and dual-qualified to practice in Spain and the State of New York, José Luis specializes in advising international investors, particularly, private equity and venture capital funds in their investments in Spain as well as accompanying Spanish private equity investors and family offices in their M&A investments both in Spain and cross-border. During his 20 years of experience, he has been involved in multiple private equity M&A transactions in Spain in a wide array of sectors, including, among others, energy, tech, fintech, healthcare, retail, logistics and infrastructure. In recent years, he has advised private equity funds and other international investors operating in Spain in the acquisition of controlling or minority growth stakes from family-owned businesses in the tech/SaaS, construction materials, elderly care, healthcare, retail and agro sectors.

José Luis is ranked as a leading lawyer in Spain in the area of private equity M&A in the most prestigious legal directories, including Chambers and Partners and IFLR.

Giulia Bianchi Frangipane is a partner with BonelliErede. She has expertise in corporate law, including M&A and extraordinary financial transactions, venture capital and growth equity, private equity, capital markets, commercial contracts, turnaround, company reorganization, and insolvency proceedings. Giulia serves a variety of key sectors including retail, energy, financial services, telecommunications, transport, and insurance and brokerage.
